In connection with the acquisition of Pureport, Inc., a Delaware corporation (the “Pureport”), we are registering the resale of certain shares of common stock that were issued as consideration in the transaction (the “Stock Consideration”), pursuant to a prospectus supplement being filed with the Securities and Exchange Commission on the date hereof. A copy of the legal opinion of Venable LLP as to the legality of the issuance of the Stock Consideration pursuant to the purchase agreement is filed hereto as Exhibit 5.1 and is incorporated herein by reference.
