Item 1.01 Entry into a Material Definitive Agreement.
On March 7, 2013, Bassline Productions, Inc. (“Bassline”) entered into an exchange agreement to purchase 100% of the outstanding shares of On The Curb, LLC(“OTC”) in exchange for 10,000 common shares of Bassline stock. A material condition of the acquisition, production of audited financial statements, has not been provided by OTC therefore the closing of the Acquisition has been postponed until July 1, 2013 in accordance with its terms. No stock has been issued associated with the acquisition. No postponement penalties have been incurred by the Company.
