As part of temporary salary and wage reductions being implemented with regard to employees of IZEA Worldwide, Inc. (the “Company”) in light of the adverse economic conditions caused by the COVID-19 pandemic, Mr. Edward “Ted” Murphy, the Company’s Chief Executive Officer, and Mr. Ryan Schram, the Company’s Chief Operating Officer, have agreed to a 21% reduction in each of their base salaries. These salary reductions, which were approved by the Compensation Committee of the Company's Board of Directors on April 20, 2020, are effective as of April 6, 2020 until the earlier of December 31, 2020 or the Company's restoring normal payroll rates to the majority of its employees. This description of the salary reductions does not purport to be complete and is qualified in its entirety by reference to the Letter Agreements filed as Exhibits 10.1 and 10.2 to this Current Report on Form 8-K, which are incorporated herein by reference.
