Explanation of Responses:

1. These shares are owned directly by TAC Capital, LLC, a Delaware limited liability company ("TAC Capital"). TAC Capital is wholly owned by TAC Financial Corporation, a Delaware corporation ("TAC Financial"). TAC Financial is wholly owned by The Adam Corporation/Group, a Texas corporation ("TAC/G"). TAC/G is wholly owned by Donald A. Adam, a citizen of the United States of America. By virtue of the relationship described in the foregoing sentences, each of TAC Financial, TAC/G and Mr. Adam may be deemed to be the beneficial owner of these shares; however, each disclaims beneficial ownership of the reported shares in excess of his or its pecuniary interest in the shares.

2. TAC Financial, TAC/G and Mr. Adam are in the process of obtaining filing codes to file with the Securities and Exchange Commission. Such persons undertake to amend this Form 3 to include their respective filing codes when they receive them from the Securities and Exchange Commission.
