We have reproduced the Staff’s comments in bold type for your convenience and have followed the comment with the Company’s response. References in this letter to “we”, “our”, or “us” mean the Company or its advisors, as the context may require.
Explanatory Note
| 1. | We note your statement that the second amendment to your Form 8-K speaks as of the date of the original filing and does not reflect events that may have occurred after the date of the original filing. Each amendment to your Form 8-K should be updated to present the legal disclosure as of the date of the amendment. Please revise the Form 8-K accordingly. |
RESPONSE:The Company has revised the Explanatory Note and has updated its legal disclosures in the amended Current Report on Form 8-K/A (“Form 8-K/A”) that it will file with the SEC concurrently with this response letter.
