| A. | Nova Scotia Power Incorporated (the “Company”), a company incorporated under the laws of the Province of Nova Scotia, first incurred the duty to file reports under section 13(a) or section 15(d) of the Securities and Exchange Act of 1934, as amended (the “Exchange Act”) on July 15, 2010, when the Company filed a registration statement on Form F-9 with the Securities and Exchange Commission (the “Commission”), pertaining to the registration of offers and sales of its debt securities (the “Debt Securities”), which became automatically effective. |
| B. | The Company has filed or submitted all reports required under Exchange Act section 13(a) or section 15(d) and corresponding Commission rules for the 12 months preceding the filing of this form, and it has filed at least one annual report (on Form 40-F) under section 13(a). |
