Explanation of Responses:

1. Of the shares subject to the option, 20% vest on 03.08.2025, and the remainder vest in four equal installments on each of the subsequent four anniversaries of such date.

2. The reporting person disclaims beneficial ownership of these securities, and this report shall not be deemed an admission that the reporting person is the beneficial owner of such securities for purposes of Section 16 or for any other purpose.

3. Each RSU represents a contingent right to receive one share of Ameresco, Inc. Class A Common Stock ("Common Stock").

4. The RSUs vest over two years with 25% vesting on each 6-month anniversary of the grant date.
