State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
HydroPhi Technologies Group, Inc. (the “Company”) has determined that it is unable to file its Annual Report on Form 10-K for the period ended December 31, 2015 (the “Annual Report”) within the prescribed time period. During the fourth quarter of 2015 the Company entered into several financings and announced a merger. Due to these factors, despite diligent efforts, the Company has been unable to complete the preparation, review and filing of its Annual Report within the prescribed time period without unreasonable effort and expense. The Company anticipates filing its Annual Report within the extension period provided under Rule 12b-25.
