On December 22, 2015, Ezy Cloud Holding Inc. (the “Company”) experienced a change in control. As a result of this change in control and the resultant delay in obtaining and compiling information required to be included in the Company's Form 10-K without unreasonable effort or expense, the Company has been unable to complete its Form 10-K for the transition period ended December 31, 2015. In accordance with Rule 12b-25 of the Securities Exchange Act of 1934, the Company will file its Form 10-K no later than the fifteenth calendar day following the prescribed due date.
