| Item 3.01 | Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing. |
On April 28, 2020, PLx Pharma Inc. (the “Company”) received written notice from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that, for a period of 30 consecutive business days, the Company failed to maintain a minimum Market Value of Listed Securities (“MVLS”) of $35 million required for continued listing on the Nasdaq Capital Market pursuant to Nasdaq Listing Rule 5550(b)(2). In accordance with Nasdaq Listing Rule 5810(c)(3)(C), the Company has 180 calendar days, or until October 26, 2020, to regain compliance. If, at any time during the 180-day grace period, the Company’s MVLS closes at $35 million or more for a minimum of 10 consecutive business days, the Company will have regained compliance and Nasdaq will provide the Company with written confirmation of such.
If the Company does not regain compliance with the MVLS continued listing requirement during the grace period, Nasdaq will give the Company written notice that its securities are subject to delisting. In the event of such notification, the Company may appeal Nasdaq’s determination to delist its securities, but there can be no assurance Nasdaq would grant the Company’s request for continued listing.
The Company’s common stock will continue to be listed and traded on the Nasdaq Capital Market during the grace period, subject to the Company’s compliance with the other continued listing requirements of the Nasdaq Capital Market.
