| Item 1.01 | Entry into a Material Definitive Agreement. |
On March 3, 2021, PLx Pharma Inc. (the “Company”) entered into an Underwriting Agreement (the “Underwriting Agreement”) with Raymond James & Associates, Inc., as representative of the underwriters identified therein (collectively, the “Underwriters”), pursuant to which the Company agreed to issue and sell 7,875,000 shares of common stock, $0.001 par value per share, at a public offering price of $8.00 per share (the “Offering”). Under the terms of the Underwriting Agreement, the Company granted the Underwriters a 30-day option to purchase up to an additional 1,181,250 shares of common stock at the public offering price, less underwriting discounts and commissions. The Company expects to receive approximately $59.0 million in net proceeds from the Offering (excluding the over-allotment option), after deducting underwriting discounts and commissions and estimated offering expenses payable by the Company. The shares are being offered and sold pursuant to the Company’s effective registration statement on Form S-3 (Registration No. 333-230478), which was declared effective by the Securities Exchange Commission (the “SEC”) on April 4, 2019, and the base prospectus included therein, as amended and supplemented by the preliminary prospectus supplement filed with the SEC on March 2, 2021, and the final prospectus supplement to be filed with the SEC. The Offering is expected to close on or about March 5, 2021, subject to satisfaction of customary closing conditions. The Company intends to use the net proceeds from the Offering for general corporate purposes, which may include additions to working capital and capital expenditures.
The Underwriting Agreement contains customary representations, warranties and covenants of the Company, customary conditions to closing, indemnification obligations of the Company and the Underwriters, and termination and other provisions customary for transactions of this nature. All of the Company’s executive officers and directors have also agreed not to sell or transfer any securities of the Company held by them for a period of 90 days from March 3, 2021, subject to limited exceptions.

In connection with the Offering, the Company is filing a legal opinion and consent as Exhibit 5.1 and Exhibit 23.1 to this report, which are incorporated herein by reference.
