Item 1.01. Entry into a Material Definitive Agreement.
Term Loan Amendment
On December 17, 2019, Walker & Dunlop, Inc. (the “Company”) entered into Amendment No. 1 (the “Amendment”) with certain subsidiary guarantors, the lenders referred to therein and Wells Fargo Bank, National Association, as administrative agent (the “Agent”). The Amendment amends that certain Amended and Restated Credit Agreement, dated as of November 7, 2018, by and among the Company, the lenders referred to therein, the Agent, and Wells Fargo Securities, LLC and JPMorgan Chase Bank, N.A., as joint lead arrangers and joint bookrunners.
The Amendment, among other things, lowers the applicable margin to 2.00% with respect to LIBOR Rate Loans and to 1.00% with respect to Base Rate Loans, and provides for the conversion of the Company’s existing Term Loans into Term B Loans. The Amendment also contains customary representations and warranties of the Company.
The foregoing description of the Amendment does not purport to be complete and is qualified in its entirety by reference to the Amendment, which is filed as Exhibit 10.1 to this Current Report on Form 8-K.
The Agent and its affiliates have various relationships with the Company involving the provision of financial services, including other credit facilities with the Company’s affiliates, cash management, investment banking, trust and other services.
