1. Upon closing of the Issuer's initial public offering, each share of Series B-1 Convertible Preferred Stock automatically converted into shares of the Issuer's Common Stock without payment or further consideration. There was no expiration date for the Series B-1 Convertible Preferred Stock.

2. Held by The John Gilbert Cox Living Trust dated 6/23/2006, as amended, of which the Reporting Person is the trustee.
