Explanation of Responses:

1. On November 30, 2019 the Company awarded 4,700 restricted share units under the Company's stock plan. One-third of the restricted share units vest on each November 30, 2020, 2021, and 2022. 695 of the 1,567 share units that vested on November 30, 2022 were withheld to cover withholding taxes due upon vesting.
