Item 8.01. Other Events.
On August 5, 2020, The Howard Hughes Corporation (the “Company”) issued a press release announcing its intention to offer $750 million in aggregate principal amount of senior notes due 2028 (the “Notes”) in a private transaction that is exempt from the registration requirements of the Securities Act of 1933, as amended. The Company intends to use the net proceeds from the offering for general corporate purposes, including the repayment of certain existing indebtedness. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
