Item 7.01 Regulation FD Disclosure.
Share Repurchase Program
The Board of Directors of The Howard Hughes Corporation, a Delaware corporation (the “Company”), authorized a share repurchase program, pursuant to which the Company may, from time to time, purchase common stock in an amount up to $250 million. The common stock will be repurchased through open market transactions.
The date and time of such repurchases will depend upon market conditions and the Company’s cash position going forward. All repurchases will be made in compliance with, and at such times as permitted by, federal securities laws and may be suspended or discontinued at any time. The new program follows the completion of the Company’s prior share repurchase program adopted in October 2021 pursuant to which the Company repurchased all authorized purchases under the plan having an aggregate value of $250 million of its common stock.
