Explanation of Responses:

1. Reflects disposition in connection with the Agreement and Plan of Merger (the "Merger Agreement") dated March 26, 2019, by and among WellCare Health Plans, Inc. ("WellCare"), Centene Corporation ("Centene"), Wellington Merger Sub I, Inc., a Delaware corporation and a direct, wholly owned subsidiary of Centene ("Merger Sub I"), and other parties thereto, pursuant to which Merger Sub I merged with and into WellCare on January 23, 2020 (the "Effective Time"). Upon the Effective Time, each share of WCG common stock held by the Reporting Person were converted into the right to receive (i) $120.000 in cash and (ii) 3.38 validly issued, fully paid and non assessable shares of Centene's common stock, par value $0.001 per share. Upon the Effective Time, restricted stock units ("RSUs") representing 44,834 shares of WCG common stock held by the Reporting Person were converted into RSUs relating to Centene common stock in accordance with the exchange ratio set forth in the Merger Agreement.
