On May 19, 2015, the Special Committee of the Board of Directors of Affinity Gaming (the “Company”) delivered to Z Capital Partners, L.L.C. a response (the “Response Letter”) to Z Capital’s April 2015 non-binding proposal. The Response Letter is attached hereto as Exhibit 99.1 and incorporated herein by reference.
