Item 1.01 Entry Into a Material Definitive Agreement
On May 8, 2015, subsidiaries of K2M Group Holdings, Inc. (“K2M” or the “Company”) entered into the Sixth Amendment and Consent Agreement (the “Agreement”), which, among other things, amends the Company’s senior secured credit agreement, dated as of October 29, 2012 (as amended from time to time, the "Credit Agreement"), by and among K2M Holdings, Inc. as the guarantor, K2M, Inc. and K2M UK Limited as the borrowers, and Silicon Valley Bank and Comerica Bank as lenders, and allows the Company to transfer funds between K2M entities in order to retire certain intercompany balances with such entities without constituting a default or event of default.
