Explanation of Responses:

1. The shares disclosed hereunder were repurchased by Townsquare Media, Inc. (the "Company") in accordance with Rule 16b-3 in order to assist Mr. Wilson with the 2020 and 2021 tax obligations he incurred upon the vesting of 200,000 shares of restricted Class A common stock of the Company that were previously issued to Mr. Wilson.

2. Includes 400,000 shares of restricted Class A common stock, which vests with respect to twenty-five percent (25%) of the shares on each of the first, second, third and fourth anniversaries of the date of grant. 300,000 of these shares have vested as of the date hereof. Also includes 929,370 options to purchase Class A common stock that have vested.
