Item 7.01 Regulation FD Disclosure.
As previously disclosed, American Realty Capital Healthcare Trust, Inc. (the “Company”) and Ventas, Inc. (“Ventas”) entered into a definitive agreement (“Merger Agreement”), dated as of June 1, 2014, pursuant to which, among other things and subject to the satisfaction or waiver of specified conditions, the Company will merge with and into a wholly-owned subsidiary of Ventas (the “Merger”). The Company prepared an investor presentation with respect to the contemplated Merger. Directors, officers and other representatives of the Company and Ventas will present some or all of such investor presentation to various conferences and meetings in the coming months. A copy of the investor presentation is furnished as Exhibit 99.1 to this Current Report on Form 8-K. Such investor presentation shall not be deemed “filed” for any purpose, including for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise be subject to the liabilities of that Section. The information in this Item 7.01, including Exhibit 99.1, shall not be deemed incorporated by reference into any filing under the Securities Act of 1933, as amended, or the Exchange Act regardless of any general incorporation language in such filing.
