Item 1.01. Entry into a Material Definitive Agreement.
On August 7, 2012, FXCM UK Merger Limited, FXCM Holdings, LLC and FXCM Inc. (collectively, “FXCM”) entered into the First Amendment to Deed of Shareholders Agreement (the “Amendment”) with Dierk Reuter and Matthew Wilhelm. The Amendment seeks to, among other things, clarify the control FXCM maintains over Lucid Markets Trading Limited (“LMT”) with respect to the organization, management and operation of LMT.
The foregoing description of the Amendment does not purport to be complete and is qualified in its entirety by reference to the full text of the Amendment filed as Exhibit 10.1 to this Current Report on Form 8-K and incorporated into this Item 1.01 by reference.
