1. Shares granted pursuant to Issuer's 2022 Equity Incentive Plan.

2. Prior to the reported transaction, Mr. Michery held 1,098 shares, which takes into account the 1:100 reverse stock splits effected on each of December 21, 2023 and September 17, 2024. The last Form 4 filed by Mr. Michery on November 2, 2023 included a typo in Colum 5 of Table I in that shares held following the reported transaction should be reported 10,979,671.
