Item 2.02 Results of Operations and Financial Condition.
On December 17, 2024, NeuroOne Medical Technologies Corporation (the “Company”) issued a press release announcing its financial results for the fiscal quarter and fiscal year ended September 30, 2024. A copy of this press release is furnished herewith as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
In accordance with General Instruction B.2. of Form 8-K, the information in this Item 2.02, and Exhibit 99.1 hereto, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liability of that section, nor shall it be deemed incorporated by reference in any of the Company’s filings under the Securities Act of 1933, as amended, or the Exchange Act, whether made before or after the date hereof, regardless of any incorporation language in such a filing, except as expressly set forth by specific reference in such a filing.
Item 8.01 Other Events.
In its Annual Report on Form 10-K for the year ended September 30, 2024, the Company reported stockholders’ equity as of September 30, 2024 below $2.5 million. However, due to the $3.0 million payment the Company subsequently received in connection with the Zimmer Amended and Restated Distribution Agreement, dated October 25, 2024, and based on product revenue recognized subsequent to September 30, 2024, as of the date of this Current Report on Form 8-K the Company believes it has stockholders’ equity of at least $2.5 million.
