Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) Retirement of Director
On December 18, 2024, director Walter T. Colquitt, III formally notified Home Federal Bancorp, Inc. of Louisiana (the “Company”) of his decision to retire from the Board of Directors (the “Board”) of the Company, effective December 18, 2024. Dr. Colquitt was also a member of the Board of the Company’s principal operating subsidiary, Home Federal Bank (the “Bank”), at the time of his resignation and a member of the Company’s Compensation Committee. Dr. Colquitt’s decision to resign was for personal reasons and was not a result of any disagreement with the Company. The Company would like to sincerely thank Dr. Colquitt for his outstanding service on the Board of Directors of the Company and its predecessor since its formation in 2005 and the Bank since 1993.
The Board has reduced the number of directors of the Company to eliminate the vacancy created by the resignation of Dr. Colquitt. Director Thomas Steen Trawick, Jr. has been appointed to the Compensation Committee.
(b) and (c) Retirement and Appointment of Named Executive Officer
In accordance with the terms of his transition agreement entered into February 14, 2024, Glen W. Brown, who serves as Senior Vice President and Chief Financial Officer of the Company and the Bank, will transition to the role of Treasurer of the Bank effective January 1, 2025. Brad Ezernack, age 35, who currently serves as the Bank’s Vice President, Controller, was appointed as Mr. Brown’s successor on December 18, 2024. Mr. Ezernack will assume the chief financial officer and principal accounting officer roles on January 1, 2025, continuing to work closely with Mr. Brown to ensure a smooth transition.
Mr. Ezernack has served as the Bank’s Vice President, Controller since August 2023. Prior thereto, Mr. Ezernack served as the Accounting Manager for Highland Clinic, APMC from September 2015 until September 2023. Previous to this, Mr. Ezernack served Home Federal Bank from April 2010 through November 2014 as a member of the Accounting Staff, and also served as a Staff Accountant for Ilios Resources, Inc. and Smith, Pugh & Seal, LLP from November 2014 through September 2015.
