State below in reasonable detail why the Form 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR or the transition report portion thereof, could not be filed within the prescribed time period. (Attach extra sheets if needed.)
The registrant’s Annual Report on Form 10-K for the fiscal year ended December 31, 2014 could not be completed and filed by March 31, 2015 without undue hardship and expense to the registrant due to the registrant’s engagement of a new independent auditor in February 2015. As previously disclosed by the registrant in its Current Report on Form 8-K filed with the Securities and Exchange Commission on February 2, 2015, the registrant’s audit committee approved the engagement of KPMG LLP as the registrant’s new independent auditor. Because they were not appointed until February 2, 2015, KPMG LLP has informed the registrant that they will require additional time to complete the audit of the registrant’s financial statements. Attached hereto and filed as an exhibit to this Form 12b-25 is the statement of the registrant’s new independent auditor as contemplated by Rule 12b-25(c).

During the fiscal year ended December 31, 2014, the registrant acquired 17 properties, compared to one property acquired during the fiscal year ended December 31, 2013. In addition, as of December 31, 2014, the registrant had 94.4 million shares of common stock outstanding and owned a total of 20 properties, compared to 7.3 million shares of common stock outstanding and three properties owned as of December 31, 2013. As a result of these changes, the registrant expects to reflect changes in its results of operations, including net income, total assets and total liabilities, for the fiscal year ended December 31, 2014, compared to those reported for the fiscal year ended December 31, 2013. Because the registrant is continuing to analyze and compile data for its results of operations at this time, it cannot currently provide reasonable quantitative estimates with respect to the anticipated changes in its results of operations.
