Item 5.07. Submission of Matters to a Vote of Security Holders.
On June 29, 2016, American Realty Capital – Retail Centers of America, Inc. (the “Company”) held its 2016 annual meeting of stockholders (the “Annual Meeting”). At the Annual Meeting, there were present, in person or by proxy, stockholders holding an aggregate of 49,635,844 shares of the Company’s common stock, out of a total number of 98,072,758 shares of the Company’s common stock issued and outstanding and entitled to vote at the Annual Meeting.
At the Annual Meeting, stockholders voted on (i) the election of Leslie D. Michelson, Edward G. Rendell and Edward M. Weil, Jr. to the Company’s Board of Directors for one-year terms until the 2017 annual meeting of stockholders and until their respective successor is duly elected and qualified and (ii) the ratification of the appointment of KPMG LLP (“KPMG”) as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2016.
The stockholders elected all three nominees for director and ratified the appointment of KPMG. The full results of the matters voted on at the Annual Meeting are set forth below:

Other Proposals
The Annual Meeting was adjourned to July 15, 2016 at noon (local time) to be held at 405 Park Avenue, New York, New York to permit stockholders of record as of April 18, 2016, additional time to consider the proposals listed below, and to enable the Company’s proxy solicitor, Broadridge Investor Communications Solutions, Inc., more time to solicit stockholder votes. Valid proxies submitted prior to the Annual Meeting will continue to be valid for the reconvened Annual Meeting, unless properly changed or revoked prior to votes being taken at the reconvened Annual Meeting.
