1. Disposed of pursuant to merger agreement between issuer and WSFS Financial Corporation whereby each share of common stock was converted into the right to receive either (i) $22.00 in cash or (ii) 0.86865 of a share of WSFS common stock.

2. Disposed of pursuant to the merger agreement whereby each stock option was converted into the right to receive cash equal to the product of (a) the number of shares of stock subject to such option multiplied by (b) the excess, if any, of $22.00 over the per share exercise price of such option.
