1. The reporting person disclaims beneficial ownership of any shares held by Franklin Square Holdings, L.P. that exceed his pecuniary interest therein, and the inclusion of these shares in this report shall not be deemed an admission of beneficial ownership of all of the reported shares for purposes of Section 16 or for any other purpose.

2. The reporting person disclaims beneficial ownership of any shares held by FB Capital Partners, L.P. that exceed his pecuniary interest therein, and the inclusion of these shares in this report shall not be deemed an admission of beneficial ownership of all of the reported shares for purposes of Section 16 or for any other purpose.

3. These shares are directly owned by trusts created by Mr. Forman for the benefit of his minor children. Mr. Forman disclaims beneficial ownership of any shares held by these trusts that exceed his pecuniary interest therein.
