Explanation of Responses:

1. Shares of the Issuer's common stock were purchased in the Issuer's private placement of common stock pursuant to a Securities Purchase Agreement, dated February 5, 2024, by and among the Issuer and the other purchaser named therein. The shares of common stock acquired were purchased at a price per share of $1.35.

2. Shares are held directly by James Paul Scopa and Anne Eunice Kenner, as Trustees of The James P. Scopa and Anne E. Kenner Family Trust.
