Explanation of Responses:

1. Represents restricted stock units ("RSUs") granted on May 20, 2019 under GNC Holdings, Inc.'s existing deferred compensation plan, which permits a non-employee director to elect to defer the annual equity award, with such RSUs maintaining identical vesting schedules to the shares of restricted stock. The RSUs will not be issued as shares until the Reporting Person's separation from service.
