INTRODUCTION
This Amendment No. 7 (“Amendment No. 7”) amends and supplements the Rule 13e-3 transaction statement onSchedule 13E-3, filed with the Securities and Exchange Commission (the “SEC”) on January 13, 2015, jointly by Brookfield Residential Properties Inc. (the “Company”), Brookfield Asset Management Inc. (“Brookfield Asset Management”) and 1927726 Ontario Inc. (the “Purchaser”), as amended by Amendment No. 1, dated February 9, 2015, Amendment No. 2, dated February 11, 2015, Amendment No. 3, dated February 17, 2015, Amendment No. 4, dated February 24, 2015, Amendment No. 5, dated March 4, 2015, and Amendment No. 6, dated March 10, 2015 (the “Transaction Statement”).
The Transaction Statement relates to the plan of arrangement (the “Plan of Arrangement”) contemplated by an arrangement agreement among the Company, Brookfield Asset Management and the Purchaser, dated as of December 23, 2014 (the “Arrangement Agreement”), pursuant to which the Purchaser will acquire all shares of the Common Stock of the Company that are not already owned by the Filing Persons or any of their affiliates, for the per share consideration of $24.25 as set forth in the Arrangement Agreement. The management information circular, attached as Exhibit (a)(2)(i) to the Transaction Statement (the “Circular”), is being provided to holders of Common Stock pursuant to applicable Canadian law. Capitalized terms used but not defined in this Amendment No. 7 shall have the meanings given to them in the Transaction Statement.
The information contained in and incorporated by reference into this Amendment No. 7 concerning each Filing Person has been supplied by such Filing Person. No Filing Person, including the Company, is responsible for the accuracy of any information supplied by any other Filing Person.
The Items below are amended and supplemented as described below.
