Item 1.01.  Entry into a Material Definitive Agreement.

On June 12, 2014, NGL Energy Partners LP (the “Partnership”), NGL Energy Operating, LLC, in its capacity as borrowers’ agent, and the other subsidiary borrowers party thereto entered into Amendment No. 6 to Credit Agreement (the “Credit Agreement Amendment”) with Deutsche Bank Trust Company Americas, as administrative agent, and the other financial institutions party thereto. The Credit Agreement Amendment, among other things, increases the aggregate commitments under the Partnership’s revolving credit facility to $2,193,000,000. In addition, the Credit Agreement Amendment provides for the Partnership’s ability to seek incremental commitments from new or existing lenders at a future date in an amount up to $103,000,000, subject to certain conditions.
