Item 2.02. Results of Operations and Financial Condition
On January 9, 2019, Loop Industries, Inc. (the “Company”) issued a press release announcing its financial results for the third quarter of fiscal year ending February 28, 2019. A copy of the Company’s press release is attached hereto as Exhibit 99.1.
The information in this Form 8-K (including Exhibit 99.1) shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as expressly set forth by specific reference in such a filing.
Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 4, 2019, Ms. Antonella Penta, VP and General Counsel of Loop Industries, Inc. (the “Company”), tendered her resignation, which shall be effective February 3, 2019. Following Ms. Penta’s resignation, Ms. Penta’s duties will be assumed by other members of management until her replacement is named. Ms. Penta’s resignation was a personal decision to return to private practice and not due to any disagreement with the Company’s management team, operations, financials, policies or procedures. Ms. Penta will be available to the Company as required following her departure.
