Item 2.01. Completion of Acquisition or Disposition of Assets.
As previously disclosed in Loop Industries, Inc.’s (the “Company”) Current Report on Form 8-K filed on August 23, 2022, Loop Canada Inc. (“Loop Canada”), a wholly-owned subsidiary of the Company, entered into a Promise to Purchase agreement (the “Agreement”), dated June 15, 2022, with 9409-4927 Quebec Inc. (“Quebec Inc.”) and NAI Terramont Commercial (“NAI”) for the sale of a portion of the excess land owned by Loop Canada in Bécancour, Québec (the “Transaction”).
The Transaction closed on September 15, 2022, and Quebec Inc. paid CDN $11.9 million, the remaining sum of the CDN $12.0 million purchase price. The Company realized net proceeds of approximately CDN $11.4 million after the payment of taxes, fees and expenses.
The foregoing description of the Agreement does not purport to be complete and is qualified in its entirety by reference to the full text of the Agreement, a copy of which will be filed as an exhibit to the Company’s Quarterly Report on Form 10-Q for the period ended August 31, 2022.
