This Amendment No. 2 further amends the Schedule 13D filed by Pershing Gold Corporation (“Pershing” or “Reporting Person”) with respect to shares of the common stock (“Common Stock”) of Valor Gold Corp., a Delaware corporation (“Valor” or the “Issuer”). Amendment No. 1 to the Schedule 13D was filed on April 22, 2013. Capitalized terms used but not defined herein shall have the respective meanings ascribed to such terms in the Schedule 13D.
The following Items are hereby amended and restated in their entirety to read as follows:
Item 5. Interest in Securities of the Issuer
(a) – (b) At May 14, 2013, Pershing beneficially owned 20,000,000 shares of Valor Common Stock, or 25.9% (based on 77,362,502 shares of Common Stock outstanding as reported on Valor’s Quarterly Report on Form 10-Q for the quarter ended March 31, 2013). Pershing had the sole power to vote and sole power to dispose of its Valor Common Stock.
(c) Between May 15, 2013 and May 24, 2013, Pershing sold all 20,000,000 of its shares of Valor Common Stock, on the dates and for the price indicated below, for gross proceeds of $1,105,000.

The Valor Common Stock was sold in privately negotiated transactions. Pershing engaged Halcyon Cabot Partners, Ltd. (“Halcyon”) to assist it in the sale of the Valor Common Stock, and paid Halcyon aggregate fees of $40,000 in connection with all of the sale transactions.
(d) Other than the Pershing board of directors, no person is known to have the right to receive or the power to direct the receipt of dividends from, or the proceeds from the sale of, the Valor Common Stock that is beneficially owned by Pershing.
(e) Pershing ceased to be the owner of 5% of the Valor Common Stock on May 23, 2013, and sold all of its remaining shares of Valor Common Stock on May 24, 2013.
