The reporting person received 53,679 restricted stock units, each unit representing the contingent right to receive one share of common stock, with restrictions lapsing as to 1/3 of the award on each of the first, second, and third anniversaries of the date of grant, unless earlier terminated as set forth in the Company's 2018 Equity Incentive Plan (the "Plan"). The award is contingent upon approval of the Plan by stockholders on July 11, 2018 and will be void if such approval is not obtained.
