State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period. (Attach extra Sheets if Needed)
Registrant is unable to complete its Form N-CEN and transmit its annual report to shareholders for the fiscal year ended November 30, 2022, within the prescribed time period without unreasonable effort or expense, due to the identification of two material weaknesses in internal controls. The Registrant’s independent registered public accounting firm (the “Firm”) requires additional time to complete its assessment of Registrant’s design of internal control over (a) the income tax provision calculation, including but not limited to the characterization of distributions to shareholders as either ordinary income or return of capital, and verification of underlying data used to prepare the tax provision; and (b) preparation of financial statements, including the financial highlights, and verification of the underlying data used to prepare the financial statements and financial highlights. See attached letter from the Firm. Registrant fully expects to file its Form N-CEN within the extension period of 15 calendar days from the prescribed due date as provided by Rule 12b-25 under the Securities Exchange Act of 1934, as amended, and will transmit its annual report to shareholders upon completion of such report included in its Form N-CSR. |
