1. Represents the conversion upon vesting of restricted stock units ("RSUs") into common stock. On May 31, 2018, the reporting person was granted 8,197 RSUs that were previously reported on Table II of Form 4.

2. Each RSU represents a contingent right to receive one share of the Issuer's common stock.

3. The RSUs vested in one annual installment on May 31, 2019. Vested shares were delivered to the reporting person on May 31, 2019.
