Item 2.02. Results of Operations and Financial Condition.
On October 26, 2017, Park Sterling Corporation (“Park Sterling”) announced its financial results for the third quarter ended September 30, 2017. A copy of the related press release is furnished as Exhibit 99.1. The information included herein, as well as Exhibit 99.1 referenced herein, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), nor shall it be deemed incorporated by reference in filings under the Securities Act of 1933, as amended (the “Securities Act”).
Item 8.01. Other Events.
On October 25, 2017, Park Sterling issued a press release announcing that its board of directors (“Board”) declared a quarterly cash dividend to its common shareholders of $0.04 per common share, payable on November 24, 2017 to all common shareholders of record as of the close of business on November 8, 2017. Future dividends will be subject to Board approval. A copy of the press release is attached as Exhibit 99.2 and is incorporated herein by reference.
