Item 8.01. Other Events.
On June 10, 2013, American Realty Capital Properties, Inc. issued a press release announcing that it closed on two private placements: (i) a placement of shares of its common stock; and (ii) a placement of convertible preferred stock. The closings occurred on June 7, 2013. A copy of such press release is attached to this Current Report on Form 8-K as Exhibit 99.1.
