Item 2.02 Results of Operations.
On February 26, 2015, Extended Stay America, Inc. and ESH Hospitality, Inc. issued an earnings release announcing their results of operations for the three months and year ended December 31, 2014. A copy of the earnings release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference in this Item 2.02.

Item 8.01 Other Events.
On February 26, 2015, Extended Stay America, Inc. and ESH Hospitality, Inc. issued a press release announcing that the Board of Directors of ESH Hospitality, Inc. has declared a cash distribution of $0.15 per share for the fourth quarter of 2014, payable to ESH Hospitality, Inc.’s Class A and Class B common shareholders. The distribution will be payable on March 26, 2015 to shareholders of record as of March 12, 2015. A copy of the press release is attached as Exhibit 99.2 to this Current Report on Form 8-K and is incorporated herein by reference in this Item 8.01.
