Item 7.01. Regulation FD Disclosure.
On November 1, 2018, the Company filed a technical report titled “Technical Report and Preliminary Economic Assessment for the Integrated Mother Lode and North Bullfrog Projects, Bullfrog Mining District, Nye County, Nevada,” with an issue date of November 1, 2018 and an effective date of September 18, 2018 (the “Preliminary Economic Assessment”), with the securities regulatory authorities in Canada.
A copy of the Preliminary Economic Assessment is attached to this report as Exhibit 99.1. In accordance with General Instruction B.2 of Form 8-K, the information set forth herein and in the Preliminary Economic Assessment is deemed to be “furnished” and shall not be deemed to be “filed” for purposes of the Securities Exchange Act of 1934, as amended (the “Exchange Act”) and shall not be incorporated by reference into any registration statement or other document filed under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such filing. The information set forth in Item 7.01 of this report shall not be deemed an admission as to the materiality of any information in this report on Form 8-K that is required to be disclosed solely to satisfy the requirements of Regulation FD.
The United States Securities and Exchange Commission (“SEC”) limits disclosure for U.S. reporting purposes to mineral deposits that a company can economically and legally extract or produce. The Preliminary Economic Assessment uses the terms “Mineral Resource,” “Measured Resource,” “Indicated Resource,” “Inferred Resource” and “Measured & Indicated Resources.” We advise U.S. investors that while these terms are Canadian mining terms as defined in accordance with National Instrument 43-101 of the Canadian Securities Administrators (“NI 43-101”), such terms are not recognized under SEC Industry Guide 7 and normally are not permitted to be used in reports and registration statements filed with the SEC. Mineral resources described in the Preliminary Economic Assessment have a great amount of uncertainty as to their economic and legal feasibility. The SEC normally only permits issuers to report mineralization that does not constitute SEC Industry Guide 7 compliant “reserves” as in-place tonnage and grade, without reference to unit measures. The term “contained gold ounces” used in this Preliminary Economic Assessment is not permitted under the rules of the SEC. “Inferred Resources” have a great amount of uncertainty as to their existence, and great uncertainty as to their economic and legal feasibility. It cannot be assumed that any or all part of an Inferred Resource will ever be upgraded to a higher category.U.S. Investors are cautioned not to assume that any part or all of mineral deposits in these categories will ever be converted into SEC Industry Guide 7 reserves.
On November 1, 2018, the Company issued a press release announcing results for the Preliminary Economic Assessment combining the North Bullfrog-Mother Lode projects in southwest Nevada. A copy of the press release is attached to this report as Exhibit 99.2. In accordance with General Instruction B.2 of Form 8-K, the information set forth herein and in the press release is deemed to be “furnished” and shall not be deemed to be “filed” for purposes of the Exchange Act.
