As part of the annual governance review by the Solar Senior Capital Ltd. (the “Company”) board of directors in 2017, management will discuss with the board of directors the restrictions in the Company’s Articles of Incorporation, as amended, on the ability of stockholders to amend the Company’s Bylaws. This review is in response to updated voting guidelines issued by a proxy advisory firm. Revised guidance by the proxy advisory firm issued in April 2017 made it clear that the guidelines apply to business development companies like the Company.
