Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On May 15, 2019, the Board of Directors approved amendments to the Company’s Bylaws effective as of that date to amend provisions regarding adjournment of shareholder meetings to enable the chair of such meeting, or any other officer entitled to preside or act as secretary at such meeting, whether or not there is a quorum, to adjourn or postpone any meeting of shareholders to any other time and place at which a meeting of shareholders may be held under the Bylaws.
