1. Mr. Brett is Chief Compliance Officer and Secretary of the Issuer and an employee of an affiliate of Sixth Street Specialty Lending Advisers, LLC. Sixth Street Specialty Lending Advisers, LLC directly holds an aggregate of 2,714,226 shares of Common Stock of the Issuer. Mr. Brett disclaims beneficial ownership of the shares of Common Stock that are or may be directly held by Sixth Street Specialty Lending Advisers, LLC or any of its respective affiliates. Pursuant to Rule 16a-1(a)(4) under the Securities Exchange Act of 1934, as amended (the "Exchange Act"), this filing shall not be deemed an admission that Mr. Brett is, for purposes of Section 16 of the Exchange Act or otherwise, the beneficial owner of any securities of the Issuer directly held by Sixth Street Specialty Lending Advisers, LLC or any of its affiliates.
