Item 8.01. Other Events.
On June 25, 2014, C&J Energy Services, Inc. (the “Company”) issued a press release announcing the execution of a series of definitive agreements, including an Agreement and Plan of Merger, dated as of June 25, 2014, among Nabors Industries Ltd. (“Nabors”), Nabors Red Lion Limited (“Red Lion”) and the Company. The full text of the press release is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
