The registrant was unable to file its Quarterly Report on Form 10-Q for the fiscal quarter ended June 30, 2014 (the “Report”) by the prescribed date of August 14, 2014, without unreasonable effort or expense because the registrant needs additional time to complete certain disclosures and analyses to be included in the Report. The registrant intends to file the Report on or prior to the fifth calendar day following the prescribed due date.

The Registrant had no revenues during the quarters ended June 30, 2014 and June 30, 2013. For the Quarter ended June 30, 2014, the Registrant had general and administrative expenses of $2,720,136 and a net loss of $6,108,150 compared to general and administrative expenses of $549,232 and a net loss of $549,232 for the quarter ended June 30, 2013. The increase in net loss was primarily attributable to expenses related to stock compensation, salaries and consulting fees and to an unrealized loss on warrant derivative liabilities.
