Item 5.02 Departure of Directors or Certain officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On June 24, 2016,Yih-Jong Shy notified the Board of Directors of Nownews Digital Media Technology Co. Ltd. (the “Company”) of his resignation from the board of directors of the Company (the “Board”) effective immediately.
On the same day, the Board elected Shuo-Wei Shih, the Company’s Chief Executive Officer, to the Company’s Board to fill in the vacancy created by Mr. Yih-Jong Shy’s resignation.
Mr. Shih’s biography is included in the Company’s Current Report on Form 8-K filed on March 28, 2016.
There are no transactions between the Company and Mr. Shih that would be required to be reported under Item 404(a) of Regulation S-K.
Mr. Shih does not have any family relationship with any director or executive officer of the Company and has not been involved in any transaction with the Company during the past two years that would require disclosure under Item 404(a) of Regulation S-K.
