Explanation of Responses:

1. Pursuant to terms of the Nonemployee Directors' Deferred Compensation Plan approved by the Board of Directors on February 11, 2000 and amended and restated on May 6, 2020, Mr. Grizzle elected to receive his 2024 Board of Directors retainer, annual stock award, and committee chair/member fees in Franklin Electric Co., Inc. common stock, issuance of such shares deferred until 2025, to be paid in a lump sum. On May 2, 2024, Mr. Grizzle was credited with 861.02 Stock Units for the annual retainer, 1,367.50 Stock Units for the annual stock award, and 212.73 Stock Units for committee chair/member fees. At distribution, Mr. Grizzle may elect pursuant to the terms of the Plan to receive his deferred compensation either in shares of Franklin common stock or in cash.
